For Professional Services Firms

# Professional Services Firms

Your people. Your relationships. Your future.

In professional services, much of a firm’s value rests with its people—their expertise, client relationships, professional judgment, and reputation. An ownership transition must account for more than the value of the business. It must also consider how to retain key professionals, maintain client confidence, develop future leaders, and preserve the culture that made the firm successful.

Old Harbor Advisors helps owners of architecture, engineering, environmental consulting, planning, and other specialized professional services firms understand their succession options, evaluate the trade-offs, and explore a path forward that reflects their financial objectives and long-term vision for the business.

Your Situation

## What Owners in This Position Are Weighing

Owners of professional-services firms often face several competing objectives. They want to realize fair value for the business they have built, provide for retirement, reward the people who contributed to its success, and ensure that clients continue to receive the service and expertise they expect.

At the same time, the next generation of professionals may have the talent to lead the firm but lack the financial resources to purchase the owners’ interests. An outside sale may provide liquidity, but it can also bring changes to the firm’s independence, culture, and leadership.

The challenge is finding a succession strategy that addresses these priorities without treating them as mutually exclusive.

## Exploring the Alternatives

There is no single ownership transition that fits every firm. Depending on the owner’s objectives and the company’s circumstances, alternatives may include:

- **Family succession:** Transfer ownership and leadership to the next generation, where appropriate.
- **Management buyout:** Sell to existing leaders who are prepared to assume ownership and responsibility for the business.
- **Strategic sale or private equity:** Realize value through a transaction with an outside buyer, potentially providing additional resources for growth.
- **Employee Stock Ownership Plan (ESOP):** Transition a portion or all of the owner’s shares to an employee ownership trust, subject to the structure of the transaction and applicable requirements.

Each path presents different implications for valuation, taxes, liquidity, leadership, employee retention, and the firm’s future independence. The objective is to understand those differences before committing to a particular course.

## Why Employee Ownership May Be Worth Exploring

**Your people are the business**

In knowledge-based businesses, losing experienced professionals can mean losing institutional knowledge, client relationships, and future revenue. Employee ownership may help align employees’ long-term interests with those of the firm, supporting retention and continuity. Its effectiveness depends on the ownership structure, company culture, leadership, and how employee ownership is implemented.

**The next generation needs a path to leadership**

Talented professionals may be ready to lead the firm without having the personal wealth or borrowing capacity to purchase the founders’ shares. An ESOP can provide another way to transition ownership over time without requiring a small group of future leaders to finance the entire transaction themselves.

**Independence and continuity matter**

Some owners want to realize value while preserving the firm’s identity, culture, and client relationships. An ESOP may allow a firm to remain independently operated while ownership transitions to employees. Depending on the transaction and governance arrangements, existing owners and family members may also retain ownership interests or continue in leadership and management roles.

**The transition can recognize the people who built the firm**

Employee ownership offers a way to recognize employees’ contributions and give them an opportunity to participate in the firm’s long-term success. For qualifying transactions, significant tax advantages may also be available to sellers and the company, depending on the transaction structure and applicable requirements.

These are potential advantages, not automatic outcomes. An ESOP must make financial sense for the business, meet the owner’s objectives, and be supported by a capable management team and a sustainable plan for the future.

## What Owners and Their Advisors Should Consider

An ESOP is not the right answer for every firm. Before pursuing one, owners and their advisors should examine several fundamental questions:

- **Owner objectives:** Can the transaction provide the liquidity, timing, and future role the owner wants?
- **Financial feasibility:** Can the business support the purchase price, financing, and ongoing obligations associated with the transaction?
- **Leadership and management depth:** Is there a capable team prepared to operate the firm and develop its next generation of leaders?
- **People and client relationships:** How might the transition affect retention, continuity of service, and client confidence?
- **Valuation, tax, and fiduciary requirements:** What independent valuation, legal and tax analysis, and fiduciary processes will be required?
- **Long-term sustainability:** Can the ownership structure support investment in people, future growth, and the firm’s continued success?

These questions should be explored with the firm’s existing legal, tax, financial, and other professional advisors. The goal is to understand the alternatives, preserve flexibility, and determine which paths merit further study.

## How Old Harbor Advisors Can Help

- **Education first.** We explain the available ownership and succession alternatives, including the potential advantages, limitations, and trade-offs of an ESOP.
- **A collaborative approach.** We work alongside your existing professional advisors to explore possibilities, evaluate implications, and consider which options best align with your objectives.
- **Confidential and discreet.** We can begin with a general conversation about your goals and options. Before you share confidential company information, we execute a nondisclosure agreement.
- **Objective guidance.** We do not promote a single solution. We help you understand the alternatives and determine whether employee ownership warrants further exploration.
- **A transition on your terms.** You decide which path to pursue, when to proceed, and which professional advisors to involve.

For a professional-services firm whose value depends on its people, relationships, and reputation, succession is about more than selling a business. It is about finding a way forward that serves the owner, the firm, its employees, and its clients.
